Memories Glow Terms and Conditions

These Terms and Conditions ("Terms") govern your use of the Memories Glow website (the "Service") and all related services offered by Memories Glow ("Memories Glow," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access or use the Service.

  • You represent and warrant that you own all rights or have obtained all necessary licenses and permissions to the User Content you submit and that your User Content does not infringe on the rights of any third party.

  • MEMORIES GLOW DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, VIRUS-FREE, OR TIMELY.
  • MEMORIES GLOW DOES NOT WARRANT THAT THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE.
  • YOU USE THE SERVICE AT YOUR OWN RISK.
  1. Limitation of Liability
  • MEMORIES GLOW SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF MEMORIES GLOW HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE.
  • SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.

You agree to indemnify, defend, and hold harmless Memories Glow, its officers, directors, employees, agents, and licensors (collectively, the "Indemnified Parties") from and against any and all claims, losses, damages, liabilities, costs, and expenses (including attorneys' fees) incurred by the Indemnified Parties arising out of or relating to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

We may terminate your access to the Service at any time, for any reason or no reason, with or without notice.

We may also terminate or suspend your access to the Service if you violate any provision of these Terms.

  1. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles.

  1. Dispute Resolution

Any dispute arising out of or relating to these Terms or your use of the Service will be settled by binding arbitration in accordance with the rules of the American Arbitration Association ("AAA"). The arbitration shall be held in Miami, Florida. The arbitrator's decision shall be final and binding on the parties and may be entered as a judgment in any court of competent jurisdiction.

These Terms constitute the entire agreement between you and Memories Glow regarding your use of the Service and supersede all prior or contemporaneous communications and proposals, whether oral or written.

  1. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

  1. Waiver

No waiver by Memories Glow of any breach of any provision of these Terms shall be deemed a waiver of any subsequent breach.

  1. Changes to these Terms

We may update these Terms from time to time. We will notify you of any changes by posting the new Terms on this page. You are advised to review these Terms periodically for any changes. Your continued use of the Service after the posting of any revised Terms constitutes your acceptance of the revised Terms.
